These Terms & Conditions (“Terms”) form a legally binding agreement between you (“you” or “User”) and Zeikon Global Private Limited (“Zeikon Global”, “we”, “us”, or “our”), a company incorporated in India, governing your access to and use of our websites, mobile applications, AI-powered wellness assessments, and related digital services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

• You must be at least 18 years of age to use the Services independently. Users under 18 may use the Services only with the consent and supervision of a parent or legal guardian.
• If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
• You must provide accurate, current, and complete information when registering and keep it updated.

Zeikon Global provides digital health and wellness technology, including AI-powered wellness assessments (such as camera-based vitals scanning, skin, hair, body composition, posture, fitness, nutrition, sleep, and mental wellness assessments), engagement and gamification features, wellness content, and enterprise analytics dashboards. Features available to you may vary based on your subscription, region, or the enterprise programme through which you access the Services.

We may add, modify, suspend, or discontinue any feature of the Services at any time. Where changes materially reduce paid functionality, we will provide reasonable notice.

• Assessment results, scores, and insights are informational estimates generated by software and may vary in accuracy depending on conditions such as lighting, camera quality, movement, and individual physiology.
• Never rely on the Services as a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for any medical concern.
• Never disregard or delay seeking medical advice because of information provided by the Services.
• If you believe you are experiencing a medical emergency, contact local emergency services immediately.

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must notify us immediately of any unauthorised use of your account (see “Contact Us” below).
• You may not share, sell, or transfer your account to any other person.

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Reverse engineer, decompile, scrape, or attempt to extract the source code, models, or algorithms underlying the Services.
• Interfere with or disrupt the integrity, security, or performance of the Services.
• Upload malicious code or attempt to gain unauthorised access to any systems or data.
• Use the Services to build a competing product or conduct benchmarking without our written consent.
• Impersonate any person or misrepresent your affiliation with any person or entity.
• Submit another person's data or images without their lawful consent.

We may suspend or terminate access for violations of this section.

All rights, title, and interest in and to the Services — including software, AI models, algorithms, designs, trademarks, logos, content, and reports generated by the platform — are owned by Zeikon Global or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You retain ownership of the personal data you submit; you grant us a licence to process it as described in our Privacy Policy in order to provide the Services.

• Certain features may require a paid subscription or one-time fee. Applicable prices, billing cycles, and taxes will be displayed before purchase.
• Payments are processed through third-party payment providers; we do not store your full card details.
• Unless required by applicable law or expressly stated at the time of purchase, fees are non-refundable.
• If you access the Services through an enterprise programme, the commercial terms agreed with that organisation apply to fees and access duration.

Where the Services are provided to you through your employer, insurer, bank, hospital, or another partner organisation, your access may be governed additionally by the agreement between Zeikon Global and that organisation. Aggregated, de-identified insights may be shared with that organisation as described in our Privacy Policy. Identifiable health data is shared only with your explicit consent.

Our collection and use of personal data, including sensitive health and wellness data, is governed by our Privacy Policy, which forms an integral part of these Terms. Our privacy and security practices are designed to align with internationally recognised frameworks, including the GDPR, India's DPDP Act, HIPAA privacy and security principles, and ISO/IEC 27001-aligned information security practices.

The Services may link to or interoperate with third-party websites, apps, or services. We do not control and are not responsible for third-party content, products, or practices. Your use of third-party services is at your own risk and subject to their terms.

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that results will be accurate or reliable for any particular purpose.

To the maximum extent permitted by applicable law:

• Zeikon Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Services.
• Our total aggregate liability for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amount you paid to us for the Services in the twelve (12) months preceding the claim, or (b) INR 5,000.
• Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.

You agree to indemnify and hold harmless Zeikon Global, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

• You may stop using the Services and delete your account at any time through the app settings or by contacting us.
• We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure for us, or where required by law.
• Upon termination, your licence to use the Services ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

We may update these Terms from time to time. Material changes will be notified through the Services or by email before they take effect. The “Last Updated” date indicates the latest revision. Continued use of the Services after the updated Terms take effect constitutes acceptance.

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labour disputes, governmental action, internet or utility failures, or third-party service outages.

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or the Services shall first be attempted to be resolved amicably. Failing amicable resolution within thirty (30) days, the dispute shall be referred to arbitration by a sole arbitrator seated in Mumbai, Maharashtra, India, conducted in English under the Arbitration and Conciliation Act, 1996. Subject to the foregoing, the courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction. Nothing in this section limits any non-waivable consumer rights available to you under the mandatory laws of your place of residence.

• Severability — If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• No waiver — Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment — You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Entire agreement — These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Zeikon Global regarding the Services.
